Directors Report


  • Directors reports writes together with the financial report of the company for the year ended 30 June 2011?
Key Concept Question: I am definitely in the Annual Report 2013 but the directors are mainly focusing on 30 June 2011? Same as the Chairman Letter guessing this is due to the main changes occurring in 2011? Any thoughts followers?

  • When reading the directors report it lists the members and provides explanation about who they are and their experience. Found this very interesting as it is different to Advanced Share Registry's Official Website's Corporate Directory and the website does not seem to be updated.
Area of Importance: Advanced Share Registry should ensure all items within the website are updated yearly as i think it lacks in professionalism. Don't even know how I picked up on this?

  • The Directors Report lists out the Board's interest held in shares and other entities.
    • Simon Cato - 495,000 ordinary shares
    • Kim Chong  - 23 809 500 ordinary shares
    • Alvin Tan - 470 500 ordinary shares
    • Alan Winduss - 200 000 ordinary shares
Area of Importance - I found this really interesting as it lets shareholders and investors know that the director's are shareholders of outsider companies.

  • Director's report lists the year under review being 30 June 2011? In 30 June 2011 profits and sales both increased and looks like it was a great year.
Key Concept Question: I believe this should be more about the 30 June 2013 year as that is the Annual report I am reading?

  • Performance Evaluation 2013 not completed on the board.
Area of importance: Found this interesting to know which is why the Director's are focussing more on the 30 June 2011 year? I would have thought that no matter what performance each year was evaluated?

Area of Importance: This is important for shareholders to see what value or income per share that they received as a dividend. So in the 12/13 financial year the shareholders received in pocket 1.85c per share which is consistent over the final 20/08/2012 dividend and the interim dividend 08/02/2013. Would of though this might have changed?

Key Concept Questions:  Value per share in 2013 based on profits and earnings decreased by 0.03 cents meaning profits must have decreased in 2013? Net Tangible Assets per share - well NTA is total assets less liabilities so does this mean there was more assets purchased and more liabilities paid off for the NTA per share to go up by 0.60 cents? Is Return on Equity the percentage that they receive back from their total investment? I did some research on this return on equity and found that it is the net income returned as a percentage of the shareholders investments. (Refer to Investopedia.com, 2014). Return on Assets is the percentage of how profitable the company is on their total assets. As you can see in 2013 this went down by 0.45 cents.
